Art. 7 The Board of Directors has:
- to promote and to develop the Association;
- to take care of the management of common duties and be responsible for carrying out all specific activities;
- to coordinate the relations with the Authorities ( see art. 3);
- to represent the Association towards a third party and on trial, also through a delegation to one of the components of the same Board.
Art. 8 - The member’s meeting shall meet at least once a year in order:
- to decide of the consultative and preliminary budget, to deliberate on the reports of the Board of Directors;
- to fix, according to the Board of Directors, the entrance fees and the associative contributions;
- to deliberate on the policy and the programming guidelines of the Association and on the activities to carry out in the different fields of its own competence.
The extraordinary assembly decides:
- to deliberate upon changes of the Statutes;
- to deliberate on the dissolution of the Association.
In the first convened Ordinary Assembly the resolution will be considered valid by a majority vote of the members (50% + 1); in the second convened Assembly the resolution will be considered valid with 1/3 of the associates, upon general convocation of the members who could also vote by proxy.
Art. 9 - The association will end when all the purposes are achieved or if they become impossible to reach. The achievement of the purposes or its impossibility will have to be previously verified with a resolution of the Board of Directors, which will have to be carried out to the approval of the member’s meetings. Once declared the dissolution of the Association, the member’s meeting will designate three members, to choose between the components of the same Board, in order to proceed to the liquidation of the assets.
Art. 10 - Special rules concerning functioning and the execution of this Statutes, might be eventually provided with articles of association to elaborate by the Board of Directors that reserve itself, moreover, to bring changes to this Statutes if it will be considered necessary.
Art. 11 - Any other matter that is not dealt with by this Statute will be ruled by the national laws currently in force.
